ended as they started, as was to be foreseen once you deviated from the path of duty, but, even so, this culminating and so flagrant a breach of our agreement, and of the trust we imposed in you, came indeed as a great surprise to me; as did the further breach which your Hongkong firm have committed since, namely on or about the 30th Bay, by once more approaching the Texas Company in regard to this agency, according to & Hongkong cable of that date in my hands.

And with all that, both you and your Hongkong people have signed (in our contract of June last) a clause, to wit clause four, which absolutely debara you and them from attempting to acquire, or even only to accept if offered, this agency. Moreover, as this very clause has been so often referred to in our correspondence, its significance and importance was well before you when you committed these breaches.

In fact, it was not so long ago, namely on the 24th January last, when you in London tried to make the terms of this very contract "null and void", when you threatened us that, unless we consented to this cancellation (an outrageous request from every point of view), you would

"give up the agency at once" though knowing that this would have meant great and irreparable damage to the Texas Company's interests, and ours, which both they and we had placed confidingly into your care.

In regard to this second breach, you in Hongkong once more stated this time to Mr.Douglass, the Texas Company's representative

that you refused to continue this agency with us after the 30th June;

and yet, instead of telling him that you would then relinquish this

agency, nay that you would even facilitate the passing over of the busi-

ness to others (as is the custom between honorable business men), you
